Fee for financial statements filed late
The Finnish Patent and Registration Office (PRH) imposes a fee for financial statements filed late.
Fee for financial periods that ended before December 2024
The handling fee applies to financial periods that ended before 1 December 2024.
The fee is 100 euros if limited liability companies or co-operatives submit their financial statements to the Finnish Trade Register later than within 8 months of the end of the financial period.
The PRH will send you an invoice. Do not pay the handling fee in advance.
Fee for financial periods that ended in December 2024 or later
The fee for late submission of financial statements applies to financial periods that ended on 1 December 2024 or later.
The fee is based on the Finnish Trade Register Act, which specifies the amount.
Company types
The PRH imposes a fee for late submission of financial statements if these company types do not submit their financial statements to the Finnish Trade Register within 8 months from the end of the financial period:
- Limited liability company
- Co-operative
- European company (Societas Europaea)
- European co-operative
Amount of the fee
The fee depends on the period of the delay.
The fee is
- 150 euros when notification of the financial statements is late by no more than 2 months
- 300 euros when notification of the financial statements is late by 2–4 months
- 600 euros when notification of the financial statements is late by more than 4 months or the financial statements have not been submitted at all.
The fee is doubled if the company is a public limited company or European company.
The PRH imposes a double fee if financial statements have not been submitted for two or more consecutive financial periods.
Payment procedure
The PRH imposes the fee for late submission of financial statements if the company submits its financial statements late or does not submit the financial statements within a year of the end of the financial period.
The procedure steps are the following:
- If the company has not submitted the financial statements to the Finnish Trade Register by the deadline, the PRH sends a letter to the company and asks the company to submit the financial statements. If the company submits its financial statements late before the PRH has sent the letter, the PRH sends directly its decision on the imposition of the fee.
- If the company submits the financial statements later or does not submit the financial statements within a year of the end of the financial period, the PRH imposes the fee for late submission and send its decision on the matter to the company.
Collection of the fee
The Legal Register Centre (LRC) takes care of the collection of fees.
The fee collection has the following steps:
- The company can pay the fee for late submission to the LRC after receiving the PRH’s decision on the imposition of the fee along with payment instructions.
- The LRC checks if the company has paid the fee for late submission on the basis of the PRH’s decision.
- If the fee for late submission is completely or partially unpaid, the LRC sends a request for payment to the company and provides a due date for the fee.
- If the company does not pay the fee for late submission by the due date provided by the LRC, the fee can be collected through execution.
